1. Acceptance of Terms

By accessing or using Huddl ("the Service"), you agree to be bound by these Terms of Service ("Terms"). You will be required to explicitly accept these Terms before creating your first care circle and using medication management features. If you do not agree to these Terms, please do not use the Service.

Your acceptance is recorded with a timestamp and version number for our records.

2. Description of Service

Huddl is a Personal Health Record (PHR) and family caregiver coordination application designed for personal use only. The Service enables users to:

• Create and manage care circles for coordinating care
• Track medications and receive reminders
• Assign and manage caregiving tasks
• Schedule and share appointments
• Communicate with other care circle members

2.1 Personal Use Only

IMPORTANT: Huddl is intended for personal and family use only. This Service is NOT intended for use by:

• Healthcare providers in the delivery of medical care
• Medical facilities, clinics, or hospitals for patient care
• Home healthcare agencies for patient management
• Any entity subject to HIPAA regulations in their professional capacity

If you are a healthcare provider or covered entity under HIPAA, you may use Huddl only for your own personal health tracking, not for managing patient care.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Share false or misleading information
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service
• Upload malicious code or content
• Harvest or collect user information without consent
• Use the Service to send spam or unsolicited communications

5. Medical and Health Information Disclaimer

5.1 Not Medical Advice

CRITICAL NOTICE: Huddl is a personal organization and coordination tool, NOT a medical service or device. The Service:

• Does NOT provide medical advice, diagnosis, or treatment
• Does NOT replace consultation with qualified healthcare professionals
• Is NOT intended for emergency situations or urgent medical care
• Should NOT be used as the sole method for managing critical medications or conditions

Always consult qualified healthcare professionals for all medical decisions. If you have a medical emergency, call your local emergency number immediately.

5.2 User Responsibility

You are solely responsible for:

• The accuracy and completeness of all health information you enter
• Verifying medication schedules and dosages with your healthcare provider
• Following your healthcare provider's instructions
• Monitoring your own (or your loved one's) health and medical conditions
• Ensuring medications are taken as prescribed

5.3 No Liability for Health Outcomes

We are NOT responsible for:

• The accuracy of information entered by users
• Medical decisions made based on information in the app
• Missed medications or appointments due to technical issues, notification failures, software bugs, errors, defects, or user error
• Incorrect display, calculation, or processing of medication schedules, dosages, or timing
• Failed, delayed, or inaccurate notifications or reminders
• Any health outcomes, adverse events, or complications related to use of the Service
• Data loss, corruption, system downtime, or service interruptions
• Any reliance on the Service for critical or time-sensitive medication management

You acknowledge and agree that you use the Service at your own risk and should maintain independent backup systems for managing critical medications.

6. Subscriptions and Payments

6.1 Free and Paid Plans

Huddl offers both free and paid subscription plans. Paid plans provide additional features and increased limits.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. All payments are processed through the Apple App Store.

6.3 Cancellation

You may cancel your subscription at any time through your App Store account settings. Cancellation takes effect at the end of the current billing period.

6.4 Refunds

Refund requests are handled by Apple in accordance with their App Store policies.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Huddl and are protected by international copyright, trademark, and other intellectual property laws.

8. User Content and Data Ownership

8.1 Your Data

You retain full ownership of all health information and content you create within the Service. By using the Service, you grant us a limited license to use, store, and display your content solely as necessary to provide the Service to you and your authorized care circle members.

8.2 Data Control

You have the right to:

• Access, export, or delete your data at any time
• Control who has access to your care circles and information
• Request account deletion and data removal

9. Privacy and HIPAA

9.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 HIPAA Status

Important Notice: Huddl is NOT a HIPAA "covered entity" or "business associate." We are a technology company providing personal health record software for individual and family use. Because we are not subject to HIPAA:

• We do not sign Business Associate Agreements (BAAs)
• Healthcare providers should NOT use our Service to manage patient care in their professional capacity
• The Service is designed for personal tracking and family coordination only

However, we still implement strong security measures and comply with applicable privacy laws including the FTC Health Breach Notification Rule and state privacy regulations.

10. Termination

We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the Service ceases immediately. You may request deletion of your account and data at any time.

11. Limitation of Liability

To the maximum extent permitted by law, Huddl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, goodwill, or any damages arising from health outcomes, missed medications, or reliance on the Service, arising from your use of the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Huddl, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your use of the Service
• Your reliance on medication reminders, notifications, or information in the Service
• Any health outcomes or medical decisions made based on the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and changing the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.
